These informal negotiations will commence upon written notice from one Party to the other Party.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved through binding arbitration. It is important to understand that by agreeing to this provision, you are waiving the right to file a lawsuit in court and have a trial by jury. The arbitration process will be initiated and conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), along with the AAA Supplementary Procedures for Consumer-Related Disputes ("AAA Consumer Rules"), which can be found on the AAA website at www.adr.org. Your arbitration fees and your portion of arbitrator compensation will be governed by the AAA Consumer Rules and may be limited by them as well. The arbitration proceedings may take place in person, through document submissions, over the phone, or online. The arbitrator's decision will be provided in writing, but they are not obligated to provide a statement of reasons unless requested by either Party. The arbitrator must adhere to applicable law, and any award may be challenged if the arbitrator fails to do so. Unless otherwise mandated by the relevant AAA rules or applicable law, the arbitration will occur in United States County, Georgia. With the exception of matters specified herein, the Parties may seek relief in court to enforce arbitration, halt proceedings pending arbitration, or confirm, modify, vacate, or enter judgment on the arbitrator's decision.
Court Proceedings and Jurisdiction
If, for any reason, a Dispute proceeds in court rather than through arbitration, the Dispute shall be initiated or pursued in the state and federal courts located in United States County, Georgia. By accepting these terms, the Parties hereby consent to this jurisdiction and waive any defenses of lack of personal jurisdiction or forum non conveniens with regards to venue and jurisdiction in such state and federal courts. It is important to note that the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) do not apply to these Terms of Use.
Furthermore, any Dispute brought by either Party relating to the Site must be commenced within one (1) year after the cause of action arose. If this provision is deemed illegal or unenforceable, neither Party will choose to arbitrate any Dispute falling within that portion of the provision. Instead, such Dispute will be decided by a court of competent jurisdiction within the designated courts mentioned above, and both Parties agree to submit to the personal jurisdiction of that court.
Restrictions
The Parties acknowledge and agree that any arbitration shall be strictly limited to the Dispute between the Parties individually. In accordance with applicable law, it is important to note the following restrictions: (a) no arbitration shall be combined or joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other individuals.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes areI not subject to the above provisions concerning informal negotiations and binding arbitration:
Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party.
Disputes related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use.
Claims for injunctive relief.
If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable. Instead, such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
CORRECTIONS
Please be aware that there may be instances where the information available on the Site contains typographical errors, inaccuracies, or omissions, particularly in relation to the Partner Channel Offerings.
